Terms of Service

Welcome to Crewmates. These Terms of Service ("Terms") are a binding agreement between you and Crewmates ("Crewmates," "we," "us," or "our"). These Terms govern your access to and use of the Crewmates web application, related services, and any associated websites (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of those changes.

1. Eligibility

You must be at least 16 years old to use the Service. If you are under 18 (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf and consents to your use of the Service.

By using the Service, you represent and warrant that you have the legal capacity to enter into a binding agreement and that your use of the Service does not violate any applicable law or regulation.

2. Your Account

To use the Service, you must create an account. You may register using Google OAuth or another authentication method we support. By registering, you agree to:

  • Provide accurate and complete information during registration.
  • Maintain the security of your account credentials and not share your account with others.
  • Promptly notify us of any unauthorized access to or use of your account.
  • Accept responsibility for all activity that occurs under your account.

You may create only one account for your personal use. We reserve the right to suspend or terminate accounts that we reasonably believe are duplicates, automated, or in violation of these Terms.

3. The Service

3.1 What Crewmates Provides

Crewmates is a social accountability and productivity application. The Service allows you to create or join small groups ("Crews") that share a dashboard of collaborative tools ("Blocks"). Blocks currently include features such as habit trackers, shared calendars, notebooks, and an activity feed. The Service is designed so that your activity within a Crew is visible to other members of that Crew.

3.2 Social Visibility Is a Core Feature

You acknowledge and agree that the Service is designed around social accountability. When you join a Crew, certain information about your activity is shared with other Crew members by design. This includes, but is not limited to:

  • Whether and when you have completed habits or other tracked actions.
  • Content you contribute to shared notebooks, calendars, and other collaborative Blocks.
  • Your online or active status within a Crew (the "Who's Active" indicator).
  • Streak data, including whether you have maintained or broken a personal or Crew streak.
  • Reactions and other social interactions you make on the activity feed.

This visibility is fundamental to how the Service works. By joining a Crew, you consent to this sharing of activity data with your fellow Crew members. If you do not wish for Crew members to see your activity, you should leave the Crew.

3.3 Changes to the Service

We are actively developing the Service and may add, modify, or discontinue features at any time. We will endeavor to provide reasonable notice of material changes, but some changes may take effect immediately. We are not liable to you or any third party for any modification, suspension, or discontinuation of any feature of the Service.

4. Crews

4.1 Creating and Joining Crews

Any user may create a Crew. The user who creates a Crew is the Crew's creator and has certain administrative privileges, including the ability to edit the Crew's name, description, and timezone settings.

Users join a Crew by entering a Crew invite code or using an invite link shared by an existing member. By joining a Crew, you agree to make your activity data within that Crew visible to all other members, as described in Section 3.2.

4.2 Crew Conduct

Crewmates is built on the principle of supportive accountability among trusted peers. By participating in a Crew, you agree to:

  • Treat fellow Crew members with respect.
  • Not use the Service's social mechanics (including reactions, feed visibility, and activity indicators) to harass, bully, shame, or intimidate other users.
  • Not invite users to a Crew for the purpose of monitoring or surveilling them without their knowledge and informed consent.

We reserve the right to investigate reports of harmful conduct within Crews and to take action including warning, suspending, or terminating accounts of users who violate these standards.

4.3 Leaving a Crew

You may leave any Crew at any time. When you leave a Crew, your historical contributions (such as past habit completions, notebook edits, and feed activity) may remain visible to the remaining Crew members as part of the Crew's shared history. Your future activity will no longer be shared with that Crew.

5. User Content

5.1 Your Content

"User Content" means any text, images, data, or other materials that you submit, post, or otherwise make available through the Service. This includes habit names and descriptions, notebook entries, calendar events, activity feed posts, reactions, and any other content you create within the Service.

You retain ownership of your User Content. By submitting User Content to the Service, you grant Crewmates a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, display, and distribute your User Content solely for the purposes of operating, providing, and improving the Service. This license includes the right to display your User Content to other members of your Crews and to include your User Content in features such as activity feeds and any future recap or summary features.

This license continues for as long as your User Content remains on the Service. If you delete your User Content or your account, we will cease displaying it within a commercially reasonable time, except that content you contributed to shared Crew spaces may persist as described in Section 4.3.

5.2 Content Standards

You agree not to submit User Content that:

  • Is unlawful, defamatory, obscene, or otherwise objectionable.
  • Infringes or violates the intellectual property rights, privacy rights, or other rights of any third party.
  • Contains viruses, malicious code, or any material designed to interfere with the proper functioning of the Service.
  • Constitutes spam, unsolicited promotion, or deceptive content.
  • Impersonates another person or misrepresents your identity or affiliation.

We reserve the right, but are not obligated, to review, remove, or disable access to any User Content that we believe violates these Terms or is otherwise harmful, at our sole discretion and without prior notice.

5.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that Feedback into the Service without restriction or obligation to you.

6. Acceptable Use

You agree not to:

  • Use the Service in violation of any applicable law or regulation.
  • Attempt to gain unauthorized access to the Service, other users' accounts, or any related systems or networks.
  • Use automated means (bots, scrapers, crawlers) to access or interact with the Service without our prior written consent.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or disassemble any aspect of the Service.
  • Use the Service to collect, harvest, or store personal data about other users except as inherently provided by the Crew features.
  • Circumvent any access controls, rate limits, or security measures of the Service.
  • Use the Service for any purpose that is competitive with Crewmates, including benchmarking or building a competing product.

7. Subscriptions and Payments

7.1 Free and Paid Tiers

The Service includes a free tier and optional paid subscription plans. The features available under each tier are described on our website and may change over time. We will provide reasonable notice of any changes that materially reduce the functionality of a paid tier during an active subscription term.

7.2 Billing

If you purchase a paid subscription, you agree to pay the applicable fees and any taxes. Subscriptions renew automatically at the end of each billing cycle (monthly or annual) unless you cancel at least 24 hours before the renewal date. We process payments through third-party payment providers (currently Stripe). Your use of the payment provider is subject to their own terms and conditions.

7.3 Crew Subscriptions

Certain paid plans cover all members of a Crew ("Crew Subscriptions"). If you purchase a Crew Subscription, you understand that the benefits of that subscription extend to all current and future members of the Crew for the duration of the subscription. If you cancel the Crew Subscription or leave the Crew, a grace period of 30 days applies before the Crew loses access to paid features. During this grace period, another Crew member may adopt the subscription. After the grace period, the Crew will revert to the free tier, but no data will be deleted.

7.4 Refunds

Subscription fees are generally non-refundable, except where required by applicable law. If you believe you are entitled to a refund, please contact us at support@crewmates.net.

7.5 Price Changes

We may change subscription prices from time to time. Price changes will take effect at the start of your next billing cycle following notice of the change. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

8. Intellectual Property

The Service and its original content, features, and functionality (excluding User Content) are and will remain the exclusive property of Crewmates and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws. Our trademarks, logos, and service marks may not be used without our prior written consent.

Nothing in these Terms grants you any right to use the Crewmates name, logo, or branding except as expressly permitted.

9. Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy.

You acknowledge that Crewmates uses third-party service providers (including Supabase for database and authentication, and Vercel for hosting) to operate the Service, and that your data may be processed by these providers in accordance with their respective terms and our Privacy Policy.

10. Third-Party Services

The Service may contain links to or integrations with third-party websites or services that are not owned or controlled by Crewmates. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites or services. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

CREWMATES DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE SERVICE.

Crewmates is a productivity and accountability tool, not a professional counseling, medical, fitness, or advisory service. The social accountability mechanics of the Service are designed to encourage goal pursuit but are not a substitute for professional guidance. You use the Service and rely on its features at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CREWMATES, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO CREWMATES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In such jurisdictions, the above limitations apply only to the fullest extent permitted by applicable law. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence.

13. Indemnification

You agree to indemnify, defend, and hold harmless Crewmates and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service.
  • Your User Content.
  • Your violation of these Terms.
  • Your violation of any applicable law or the rights of any third party.

14. Termination

14.1 Termination by You

You may stop using the Service and delete your account at any time by contacting us at support@crewmates.net. Upon account deletion, we will remove your personal profile and cease sharing your activity data with Crews. As described in Section 4.3, certain historical contributions to Crew spaces may persist.

14.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms, conduct that we reasonably believe is harmful to other users or the Service, or extended periods of inactivity. We will endeavor to provide notice and an explanation where practicable.

14.3 Effect of Termination

Upon termination, your right to access the Service will cease immediately. Sections 5 (User Content), 8 (Intellectual Property), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 15 (Governing Law and Disputes), and any other provisions that by their nature should survive, will survive termination of these Terms.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with applicable law.

Any dispute arising out of or in connection with these Terms or the Service shall first be attempted to be resolved through good-faith negotiation.

Nothing in this section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or breach of confidentiality obligations.

16. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Crewmates regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

No Agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Crewmates.

Force Majeure. Crewmates shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including natural disasters, acts of government, internet or telecommunications failures, or other force majeure events.

Notices. We may provide notices to you by email to the address associated with your account, by in-app notification, or by posting on the Service. Notices to Crewmates should be sent to support@crewmates.net.

Export Compliance. You represent that you are not located in a country that is subject to a government embargo or sanctions, and you will not use the Service in violation of any export control or sanctions laws.
